Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between Aeon (“Aeon,” “we,” “us,” or “our”) and any individual or entity (“User,” “you,” or “your”) that accesses or uses Aeon's Software-as-a-Service (SaaS) platform, applications, or related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Account Registration

• You must be at least 18 years old and legally capable of entering into binding contracts.
• You agree to provide accurate and complete registration information and maintain the security of your account.
• You are responsible for all activities conducted under your account and must promptly notify Aeon of any unauthorized use.

2. Provision of Service

Aeon provides a cloud-based platform enabling Users to create, deploy, and manage AI Agents and related computational workflows. Aeon may modify, enhance, or discontinue parts of the Service at any time with reasonable notice where material changes occur. We do not guarantee uninterrupted or error-free operation.

3. Subscription, Fees, and Payment

• Certain features require payment of subscription fees (“Fees”) as outlined in the applicable plan.
• Fees are billed in advance and are non-refundable except as required by law or expressly stated herein.
• Aeon may adjust pricing or introduce new fees upon reasonable notice. Continued use after such notice constitutes acceptance.
• Payment is securely processed through third-party providers; Aeon does not store complete payment details.

4. Acceptable Use

Users shall not:

• Use the Service for unlawful or harmful purposes.
• Attempt to gain unauthorized access, interfere with system integrity, or introduce malicious code.
• Copy, modify, or reverse-engineer any part of the Service.
• Use the Service to develop or train competing AI products without Aeon’s written consent.

Violation of this section may result in immediate suspension or termination of access.

5. Intellectual Property

• All intellectual property rights in the Service belong to Aeon or its licensors.
• Aeon grants a limited, non-exclusive, non-transferable license to access and use the Service for internal business purposes.
• Users retain ownership of their uploaded or generated content (“User Data”) and grant Aeon a limited, royalty-free license to process such data solely for service delivery.

6. Confidentiality

Both parties agree to maintain the confidentiality of non-public information exchanged in connection with the Service and to use it only for the purposes set forth in these Terms.

7. Data Protection and Privacy

Aeon processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms. By using the Service, you consent to such processing as required by applicable data protection laws.

8. Service Availability and Support

Aeon strives to ensure continuous availability of the Service but does not guarantee uninterrupted operation. Scheduled maintenance may occur with prior notice. Support is provided per your subscription plan.

9. Limitation of Liability

• Aeon shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data.
• Aeon’s total liability shall not exceed the fees paid by the User during the six (6) months preceding the claim.
• Nothing herein limits Aeon’s liability for fraud, willful misconduct, or liabilities that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold Aeon harmless from any claims or liabilities arising from your use of the Service, breach of these Terms, or infringement of third-party rights.

11. Suspension and Termination

• Aeon may suspend or terminate access where necessary to protect the Service or comply with legal obligations.
• Users may terminate their account at any time through their dashboard. Fees already paid remain non-refundable.
• Upon termination, all rights under these Terms cease, and Aeon may delete User Data per its retention policy.

12. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. Aeon disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.

13. Amendments

Aeon reserves the right to amend these Terms. Updates will be posted on our website, and continued use of the Service after changes constitutes acceptance.

14. Entire Agreement

These Terms, along with the Privacy Policy and any applicable service agreements, constitute the entire agreement between Aeon and the User.
